The name of this organization shall be the Kansas Conference of the American Association of University Professors.


The purpose of this organization shall be to facilitate cooperation among members and AAUP chapters in Kansas, to provide a means for encouraging the formation of new chapters in the state, and to promote the objectives of the American Association of University Professors.

The Kansas Conference shall also formulate strategies for higher education in Kansas furthering the interests and concerns of the Kansas professoriat.

ARTICLE III Membership

All duly recognized chapters or active members of non-chapter campuses of the American Association of University Professors within the state of Kansas shall be members of this Conference.


1. The officers shall be president, vice-president who is also president-elect, immediate past-president, secretary-treasurer, and executive director of the State Conference. The vice-president and secretary treasurer shall be elected by those present at the appropriate spring meeting and take office immediately after that meeting.

2. The president shall serve for a term of two years.

3. The vice-president/ president-elect shall serve for a term of two years and shall then succeed to the presidency. In the absence or disability of the president the vice-president shall act.

4. The executive director of the Conference shall serve at the pleasure of the Executive Committee, shall serve as the liaison between the national AAUP office and the Conference, and shall coordinate lobbying activities to governing boards, campus administrators and elected public officials.

5. The secretary-treasurer shall serve for a term of three years, shall maintain the official records of the organization and deal with all financial matters, shall report to the chapters and shall serve not more than two consecutive terms.

6. In the event that a vacancy occurs between elections, the executive committee is empowered to appoint a replacement officer, who shall serve until the next election for the unexpired term.

ARTICLE V Executive Committee

1. There shall be an Executive Committee consisting of the officers (president, vice-president, the immediate past president, and the secretary-treasurer), the president of each local AAUP chapter in the Kansas Conference (or another officer designated by the chapter president), and the chair of Conference committees at the discretion of the Kansas Conference president. Any Kansas Conference faculty member that holds an elected office with the National AAUP, or membership on the National Council of the AAUP shall serve as an ex-officio, voting member of the Executive Committee so long as he/she holds that office or membership. Also, the editor of the Conference newsletter shall be a member of the Executive Committee. The editor shall be named by the Kansas Conference president. A quorum shall consist of at least four members.

2. The executive committee shall conduct the business of the conference between meetings, shall name the time and place of the meetings of the conference, and shall report its actions at the next conference meeting.


1. The Kansas Conference shall meet each spring and fall.

2. Special meetings of the Conference may be called by the president at the direction of the executive committee, or at the request of any three chapters.

3. Any member of the Conference present at any meeting of the conference shall be eligible to vote at that meeting, except as provided in Article VI, Section 4.

4. Upon the request of three members, weighted voting will be used with one vote cast per institution except that institutions with chapters shall cast one vote for each 25 members or fraction thereof. The numbers of members at each chapter will be determined by the latest computer listing from the national office.


By-laws to this Constitution may be adopted or altered by a majority vote at any regular meeting of the Conference.


This constitution may be amended at any regular meeting by a two-thirds vote of the members present, provided that written notice of a constitutional amendment has been sent to the chapters at least one month before that meeting.

ARTICLE IX Disposition of Assets

In the event of the dissolution of the conference, its residual assets shall become the property of the American Association of University Professors.


I. Elections

The executive committee shall propose a slate of nominees for the offices to be filled at the appropriate spring meeting. There may be nominations from the floor.

II. Committees

Standing committees may be established by the conference. The executive committee may establish special committees as the need arises.

III. Finance

The conference will be supported by comprehensive dues. The Executive Committee may recommend to the Conference at any regular meeting changes in the dues amount, provided that recommendation is publicized among the active members of the Association in Kansas through the conference newsletter which includes the call for the meeting. After discussing the recommendation, active members shall be canvassed by secret mail ballot. A majority of those voting shall be binding and the recommendation shall be forwarded to the national office for inclusion in the next membership renewal solicitation.

IV. Parliamentary Authority

Except as otherwise specifically provided in conformity to the Constitution or in rules pursuant to it, the meetings of the conference shall be governed by Robert's Rules of Order.

V. Copies of the constitution and these by-laws shall be made available by the secretary-treasurer at every meeting.
